Notice of Merger Applications NOTICE IS HEREBY GIVEN that application has been made to the Federal Deposit Insurance Corporation and the Washington Department of Financial Institutions to merge Commerce National Bank, Newport Beach, California, with and into Sterling Savings Bank, Spokane, Washington under the terms of an Agreement and Plan of Reorganization and Merger by and among Sterling Financial Corporation, Sterling Savings Bank and Commerce National Bank. In addition, a separate application has been made to the Office of the Comptroller of the Currency with respect to the merger of CNB Interim Bank, National Association, which will be organized as a wholly-owned subsidiary of Sterling Financial Corporation, with and into Commerce National Bank. It is contemplated that the mergers will occur in two steps as follows: (1) CNB Interim Bank, National Association will merge with and into Commerce National Bank, which will become a subsidiary of Sterling Financial Corporation (the "Interim Merger") and, immediately thereafter, (2) Commerce National Bank will merge with and into Sterling Savings Bank, with Sterling Savings Bank being the surviving entity in the merger (the "Bank Merger"). The principal offices of Sterling Financial Corporation and Sterling Savings Bank are located at 111 N. Wall Street, Spokane, Washington 99201. The principal offices of Commerce National Bank are located at 4040 MacArthur Boulevard, Suite 100, Newport Beach, California 92660. No branch offices of Sterling Savings Bank or Commerce National Bank are expected to be closed as a result of this transaction. This notice is published pursuant to 12 U.S.C. 1828(c), 12 CFR Section 5, 303.7 and 12 CFR Section 303.65. This notice will appear three times, on July 26, 2013, August 7, 2013 and August 19, 2013.
